This has actually come late even though welcomed. Good Corporate Governance should not be limited to financial management but more importantly should capture the conduct of boards and management at their employees. Some few months ago I was on this platform to narrate the behaviour of FBNBank Ghana against some section of their staff who were forced out of the bank in a very crude manner. In the past it was Indians and Labanese employers employers who were noted for doing this prior to the coming of Nigerians to our business enviroment. Fortunately these races have stopped their babaric attitude to Ghanaian employees after several protestations and now taken over by Nigerians. It is time the TUC and other welfare seeking organizations in the country sound the warning to Nigerians. FBNBank Ghana cannot and will not do what they have come to do to their Ghanaian employees in 2014 and 2015. Similar exercise was carried out in Nigerian but it was fairly handled.

It is important to ask ourselves the question how will a company which believes in Good Corporate Governance deal with its employees? FBNBank Ghana adopted a fraudulent Scheme and used intimidation, threats and verbal attacks to send those targeted staffs away. The Holding company is also listed on the Nigerian Stock Exchange and by law is expected to be transparent and truthful in their disclosures but they have endorsed an action which cannot stand the test of Good Corporate Governance in Ghana. Unfortunately everybody is looking on unconcerned including the Central Bank which holds a supervisory mandate of the banking system. We are waiting for the banking system to be brought under disrepute before we take action. It is therefore a delight that the courts in Ghana are active and are more than willing to dispense justice.
Making reference to the Daily Graphic of 7th November, 2016 page 63 the leadership of FBN Holdings Plc were in Ghana to pay courtesy call on the President and to make some presentations to him. This company has FBNBank Ghana as its subsidiary and has been witness to the illegality perpetuated on some staffs in the years 2014 and 2015. The leadership does not find anything wrong with the illegalities but has the effrontery to go to the President of the land to present gift. They give respect and recognition to the Office of the Presidency but have no value for the people who put the President there. Further, this publication surprises me since the Bank scarcely put their financial statements in the Daily Graphic which is known to be the most widely circulated in the country than the Ghanaian Times their preferred choice. One can rightly guess the visit by the Chairman is considered more important to them than their financial statements which are of more concern to potential and existing customers, business community and investors in general.
In 2014 the CEO/MD and the Head of Human Resource conspired and colluded to design what they called a Scheme contrary to existing agreements with the staffs which have not been set aside to send off some staffs who they considered aged disregarding related provisions of the Acts of Parliament and the 1992 Constitution, the two most important Laws of the land. The rights of these staffs and the obligations of the Bank were disregarded and these staffs were unduly influenced to agree to the so called Scheme. In the process the local leadership of the workers labour union compromised their positions and some officials of the mother union were coerced to close their eyes to the illegality. Per the witness statement to the court the HR claimed the Bank could accept or reject any offer by any staff who applies to be signed on the Scheme and also that the Scheme was voluntary. Management was obliged to undertake certain actions per the so called Scheme claimed to be approved by the Board. These actions were never done and it was again admitted in the witness statement.
It is therefore heartwarming that some aspect of the matter is in The Industral and Labour Division of the High Court pending final determination. Sooner or later another aspect of the same matter will also be in court for ruling. This is what I find pleasing about democracy as there is a forum for those who claimed to have been offended to seek redress.
In a similar instance like the Progressive People’s Party which after disqualification sought audience with the EC and the Council of State but was turned down, the staffs petitioned the Board of Directors but were also ignored. The last alternative was to seek legal redress which one believes is the best forum that will bring finality to the matter. Let FBNBank Ghana be assured that this matter will never end until justice is obtained from the appropriate quarters. Our plea to the Lady Chief Justice is to assist in the quick resolution of the matter and not to allow deliberate delay from the Bank which is intended to discourage the party in court. Since the matter is in court I will not proceed further to provide any lead to the defendant.
Some foreign companies in Ghana especially those from Nigeria have tended to abuse the human rights of their Ghanaian employees with nonchalant attitude. They see themselves as having the financial backing to out-muscle their employees and get protection from the Ghanaian officialdom. FBNBank Ghana should be informed that they have entered the Ghanaian financial market on the wrong foot. They have virtually signed their ‘’death warrant’’ as to their sustainability here in Ghana.
