E&P lawyer sets record straight on Azumah Resources takeover

Lawyer for Engineers and Planners (E&P), Bobby Banson, has denied claims of irregularities surrounding the takeover of Azumah Resources' Black Volta and Sankofa Gold projects, stating that all related transactions followed due process.

The clarification comes after reports that the Ghanaian firm had finalised the acquisition of Azumah Resources Ghana Ltd and Upwest Resources Ltd, paving the way for the development of the Black Volta and Sankofa mining projects in the Upper West Region.

In a joint statement sighted by GhanaWeb Business on September 7, 2025, it was confirmed that the share transfers, having received prior approval from the Minerals Commission, have been formally registered with the Registrar of Companies, granting E&P full ownership and management control of the concessions.

Speaking on Asempa FM on September 8, 2025, following reports that Azumah Resources was seeking to deny the transaction, Banson dismissed circulating documents, including one bearing Azumah Resources’ letterhead but signed by a representative of a London-based PR firm, stating that they carry no legal weight.

He explained that Azumah Resources’ ownership details had been verified at the Registrar of Companies, showing that the firm was registered with GH₵26,000 in capital, well below the $1 million foreign ownership threshold, indicating Ghanaian ownership.

Banson further confirmed that the takeover process has been fully completed, including the share transfer from the Ghanaian owners.

“We have taken over all of Azumah Resources’ assets and liabilities. We expect them to make available all relevant documents so we can facilitate payments,” he asserted.
